Article 2 – General provisions and scope

These General Terms and Conditions of Sale (hereinafter, "GTC") apply, without restriction or reservation, to all sales concluded by SASU COLLECTION OUI (hereinafter referred to as the "Seller") with consumers and non-professional buyers (hereinafter referred to as the "Client(s)") wishing to acquire the products offered for sale by the Seller (hereinafter the "Products") on the website www.collectionoui.com (hereinafter referred to as the "COLLECTION OUI" website).

These General Terms and Conditions specify the conditions of ordering, payment, delivery and handling of any returns of Products ordered by Customers, as well as any updates concerning the PASS OUI, a digital service within the meaning of the Consumer Code (hereinafter referred to as the "PASS OUI").

These General Terms and Conditions may be supplemented by specific conditions, which are available on the website before any transaction with the Customer. These specific conditions are systematically provided to all Customers prior to placing an order and shall prevail, where applicable, over any other version or contradictory document. They are accessible at any time on the COLLECTION OUI website. The Customer declares having read and accepted these General Terms and Conditions before placing their order. Validation of the order by the Customer constitutes acceptance of these General Terms and Conditions without restriction or reservation.

These Terms and Conditions may be subject to subsequent modifications; the version applicable to the Customer's purchase is the one in effect on the website on the date the order is placed.

Products and ordering

Article 3 – Products offered for sale on the COLLECTION OUI website

The Products offered for sale on the COLLECTION OUI website are of three kinds: physical, digital but also hybrid.

— A physical product: The book entitled "Guide for Future Brides and Grooms" is a printed publication that accompanies clients at each stage of their wedding preparations. — A digital service: The Pass OUI, offering two (2) years of access to the Private Club for Future Brides and Grooms and providing exclusive benefits, for a price of €79 including VAT.

— A hybrid product: The OUI Collection Pack which includes the Book as well as the OUI PASS for a total amount of €129 including VAT.

The main characteristics of the Products, including all the substantial information required by applicable regulations and in particular the specifications, illustrations and indications of dimensions or capacity of the Products, are presented on the COLLECTION OUI website in the product sheets and the Seller's catalogue.

The Customer is required to read these terms and conditions before placing any order. The choice and purchase of a Product are the sole responsibility of the Customer.

The photographs and graphics presented on the website are not contractual and do not constitute a binding commitment on the part of the Seller.

The contractual information is presented in French and is subject to confirmation no later than when the order is validated by the Customer.

Product offers are subject to availability, as specified when placing the order.

Article 4 – Ordering Products Online

4.1 – Placing an order on the COLLECTION OUI website

It is the Client's responsibility to select the Products they wish to order on the COLLECTION OUI website, according to the following terms:

— Information on the essential characteristics of the Product; ;

— Choice of Product and, where applicable, its options; ;

— Indication of the Client's essential contact details (identification, email, address); ;

— Acceptance of these General Terms and Conditions of Sale; ;

— Where applicable, an express request for immediate access to the Pass OUI, under the conditions provided for in Article 10 herein; ;

— Confirmation followed by payment instructions, payment for products followed by order delivery.

The Customer has the opportunity to review the details of their order, its total price, and correct any errors before confirming acceptance. It is their responsibility to verify the accuracy of the order and to report or correct any errors immediately.

An order is registered on the COLLECTION OUI website when the Customer accepts these General Terms and Conditions of Sale by checking the box provided for this purpose and confirms their order. This confirmation implies acceptance of all of these General Terms and Conditions of Sale.

The sale is only final after the Seller sends the Customer an email confirming acceptance of the order, sent without delay, and after the Seller has received full payment. Any order placed, validated by the Customer, and confirmed by the Seller, under the conditions and according to the procedures described above, on the COLLECTION OUI website constitutes a distance contract between the Customer and the Seller.

The Seller reserves the right to cancel or refuse any order from a Customer with whom there is a dispute relating to payment for a previous order.

The Customer will be able to track the progress of their order on the COLLECTION OUI website.

The Seller does not intend to sell the Products on the COLLECTION OUI website to professionals, but only to consumers or non-professionals, for their personal needs.

The Seller therefore reserves the right to refuse orders for the same Product in large quantities and containing more than ten identical items.

4.2 – Modifying the order on the COLLECTION OUI website

Once confirmed and accepted by the Seller, under the conditions described above, the order cannot be modified.

4.3 – Cancellation of the order on the COLLECTION OUI website

Once confirmed and accepted by the Seller, under the conditions described above, the order cannot be cancelled, except in the case of exercising the right of withdrawal or force majeure.

Price, payment and delivery

Article 5 – Product Prices

The Products are supplied at the prices in effect on the COLLECTION OUI website at the time the Seller registers the order. Prices are expressed in Euros, excluding and including VAT.

The prices take into account any discounts that may be offered by the Seller on its website.

These prices are fixed and non-negotiable during their period of validity, as indicated on the website. Outside of this period, the Seller reserves the right to modify prices at any time. Standard shipping and delivery costs for books within mainland France are €0.01 including VAT per order, the minimum amount stipulated by regulations governing distance selling of books.

If the Customer requests a faster or more expensive shipping method than standard shipping, the additional processing, shipping, transport and delivery costs, as calculated prior to the Customer's order confirmation, are entirely at their expense.

The payment requested from the Customer corresponds to the total amount of the purchase, including, where applicable, these additional fees.

An invoice is issued by the Seller and given to the Customer upon delivery of the ordered Products. Prices include maintenance and customer support under the conditions and terms specified in the Seller's catalog.

Article 6 – Payment Terms

The Products offered by the Seller are delivered to the Customer in exchange for payment of a price.

The price is payable in full, in cash, on the day the order is placed by the Customer, exclusively by credit card (Visa, Mastercard, or other credit cards accepted on the website), according to the secure payment methods implemented on the COLLECTION OUI website. The order will only be considered final upon actual receipt by the Seller of all sums due from the Customer.

Article 7 – Definition and delivery of the ordered Products

7.1 – Definition

Delivery of the Products means the transfer to the Customer of physical possession of the ordered Product or the provision of access to the OUI PASS, communicated by email following the placing of their order on the COLLECTION OUI website.

7.2 – Delivery of Physical Products

Orders for physical products are delivered within mainland France to the address provided by the customer when placing their order. They are shipped within five (5) days of order confirmation, with delivery expected within ten (10) business days. Standard delivery charges are €0.01 including VAT.

The Seller undertakes to make its best efforts to deliver the products ordered by the Customer within the aforementioned time limits.

In accordance with the provisions of Article L 216-4 of the Consumer Code, the delivery of physical Products is accompanied by the provision of the instruction manual, installation instructions and a written statement mentioning the possibility of making reservations as well as the commercial guarantee.

If the ordered Products have not been delivered within fifteen days of the estimated delivery date, for any reason other than force majeure or the Customer's own actions, the Customer may notify the Seller, under the conditions set out in Article L 216-6 of the Consumer Code:

— Either the suspension of payment of all or part of the price until the Seller performs, under the conditions provided for in articles 1219 and 1220 of the civil code (exception of non-performance); ;

— Either the cancellation of the sale, after having given the Seller formal notice to comply within a reasonable additional period which the Seller has not respected.

The termination may be immediate if the Seller refuses to perform or if it is clear that he will not be able to deliver the Products or if the missed delivery deadline constituted, for the Customer, an essential condition of the sale.

In the event of cancellation of the sale, the sums paid by the Client will be refunded to them no later than fourteen days following the date of termination of the contract, excluding any compensation or deductions.

The Seller assumes the risks of transport and is required to reimburse the Customer in case of damage caused during transport.

The Customer is required to check the condition of the physical Product upon receipt and has 48 hours from delivery to notify the Seller of any apparent transport-related defects (damaged or opened package, etc.) by any means that leaves a written record. After this period, the physical Product is deemed to conform only with regard to apparent transport-related defects, without prejudice to the legal guarantee of conformity provided for in Article 12 herein.

Deliveries will be made to the address indicated by the Customer when placing their order on the COLLECTION OUI website.

7.3 – Issuance of the Pass OUI

Access to the OUI PASS is communicated to the Customer by email as soon as the Seller validates the order, when the Customer has expressly requested immediate execution of the service under the conditions stipulated in Article 10 herein. Otherwise, access is granted upon expiry of the withdrawal period.

Article 8 – Transfer of Ownership – Transfer of Risk

Ownership of the Seller's Products will only transfer to the Customer after full payment of the price by the Customer, regardless of the date of delivery of the Products.

Regardless of the date of transfer of ownership of the Products, the transfer of the risks of loss and damage relating thereto shall only take place when the Customer takes physical possession of the Products which therefore travel at the Seller's risk, except when the Customer uses a carrier which he has chosen himself, independent of the Seller, in which case the transfer of risks is carried out at the time of delivery of the Products ordered by the Seller to the carrier chosen by the Customer.

Right of withdrawal

Article 9 – Right of withdrawal

In accordance with applicable legal provisions, the Customer has a period of fourteen (14) days to exercise their right of withdrawal with the Seller, without having to provide reasons or pay any penalty, subject to the provisions of Article 10 of these Terms and Conditions. This period begins:

— From the date of receipt of the Book by the Customer, for the physical Product; ;

— From the date of conclusion of the contract, for the PASS OUI; ;

— From the date of receipt of the Book by the Customer, for the Collection OUI Pack.

The Customer returns the physical Product to the Seller, accompanied by the purchase invoice, no later than fourteen (14) days after communicating their decision to withdraw.

The Customer is only liable for the depreciation of the physical Product resulting from handling other than that necessary to establish its nature, characteristics and proper functioning.

The right of withdrawal can be exercised online, using the withdrawal form available on the website www.collectionoui.com in which case an acknowledgement of receipt on a durable medium will be immediately communicated to the Customer by the Seller, or by any other unambiguous statement expressing the wish to withdraw.

If the right of withdrawal is exercised within the aforementioned period, the Seller will reimburse the Customer for the price of the purchased Product(s) as well as the standard delivery charges; return shipping costs remain the responsibility of the Customer. Reimbursement will be made within fourteen (14) days of notification to the Seller of the decision to withdraw. For physical Products, the Seller may postpone reimbursement until the Book is received or until the Customer has provided proof of shipment. For the OUI PASS, the amount reimbursed will be reduced, where applicable, by the sum stipulated in Article 10 of these Terms and Conditions.

Article 10 – Immediate execution of the Pass OUI during the withdrawal period

In accordance with Article L221-25 of the Consumer Code, the Customer who wishes to benefit from immediate access to the OUI PASS must expressly request it, when validating their order and before any payment, by means of a checkbox separate from the one relating to the acceptance of these Terms and Conditions.

By checking this box, the Customer acknowledges that, if they exercise their right of withdrawal within fourteen (14) days, they will still owe an amount proportional to the duration of access they enjoyed up to the point of notifying their decision to withdraw. This amount is calculated pro rata based on the price of the OUI PASS, which is €79 including VAT for two (2) years of access. For example, for five (5) days of access, the amount due is €0.54 including VAT.

Otherwise, access to the Pass OUI will only be opened upon expiry of the withdrawal period mentioned in article 9 herein.

A confirmation email will be sent by the Seller to the Customer, on a durable medium, mentioning his express request for immediate execution, prior to the opening of his access to the OUI PASS.

When the order placed by the Customer relates to the PASS OUI Pack, the Customer who exercises his right of withdrawal returns the Book under the conditions provided for in article 9 of these Terms and Conditions and remains liable, under the PASS OUI, for the only proportional amount provided for in this article.

Article 11 – Updates to the Pass OUI

The Seller undertakes to ensure the updates of the PASS OUI necessary to maintain its conformity for the entire duration of access, i.e. one (2) year from the opening of access to the PASS OUI.

Guarantees, liability and personal data

Article 12 – Seller's Liability – Information Regarding Warranties

The Products sold on the COLLECTION OUI website sales catalogue comply with the regulations in force in France and have performance levels compatible with non-professional uses.

The Products supplied by the Seller benefit, by right and without additional payment, independently of the right of withdrawal, in accordance with legal provisions:

— On the one hand, the legal guarantee of conformity, for Products that are apparently defective, damaged or broken or do not correspond to the order; ;

— On the other hand, there is the legal guarantee against hidden defects arising from a flaw in materials, design or manufacturing affecting the delivered products and rendering them unfit for use,

12.1 – Legal guarantee of conformity

In accordance with Article L217-4 et seq. governing the legal guarantee of conformity, SASU COLLECTION OUI guarantees the Customer against defects of conformity appearing within two years from the delivery of the goods sold and existing on the day of delivery.

In accordance with Article L224-25-12 et seq. of the Consumer Code, SASU COLLECTION OUI also guarantees the Customer against defects of conformity affecting the PASS OUI, for the entire duration of its supply as indicated at the time of ordering.

Non-conformity means any defect that renders the goods unfit for the use normally expected of the goods, and in particular the failure to correspond with the description given by SASU COLLECTION OUI or the lack of quality that the Customer was legitimately entitled to expect.

Defects of conformity that appear within twenty-four (24) months of delivery if the goods sold are new or within twelve (12) months of delivery if the goods sold are second-hand are presumed to have existed on the day of delivery.

With regard to the PASS OUI, any non-conformities which appear during the period of supply are presumed to have existed at the time of delivery.

The Customer may choose between repair and replacement of the goods sold, unless this choice entails a manifestly disproportionate cost in which case SASU COLLECTION OUI may proceed according to the method not chosen by the Customer.

The Customer may also invoke the warranty against hidden defects in the thing sold within the meaning of article 1641 of the Civil Code.

12.2 – Legal guarantee against hidden defects

The Seller is liable for hidden defects under the legal guarantee against hidden defects arising from a defect in material, design or manufacturing affecting the delivered products and rendering them unfit for use.

The Customer may decide to implement the warranty against hidden defects of the Products in accordance with Article 1641 of the Civil Code; in this case, he may choose between the termination of the sale or a reduction in the sale price in accordance with Article 1644 of the Civil Code.

12.3 – Warranty Exclusion

The Seller shall not be held liable in the following cases:

— In the event of non-compliance with the legislation of the country in which the Products are delivered, which it is the Client's responsibility to verify before placing their order,

— In the event of misuse, use for professional purposes, negligence or lack of maintenance by the Customer, as well as in the event of normal wear and tear of the Product, accident or force majeure.

— In the event of refusal of installation by the Customer, duly informed within a reasonable time as provided for in these General Terms and Conditions of Sale, of the updates necessary to maintain the conformity of the PASS OUI.

Article 13 – Protection of personal data

In accordance with Law 78-17 of 6 January 1978 as amended by Law No. 2018-493 of 20 June 2018, it is noted that the personal data requested from the Customer is necessary for the processing of their order and the preparation of invoices, in particular.

This data may be communicated to the Seller's potential partners responsible for the execution, processing, management and payment of orders.

The processing of information communicated via the website www.collectionoui.com complies with legal requirements regarding the protection of personal data, the information system used ensuring optimal protection of this data.

In accordance with Regulation (EU) 2016/679 (GDPR) and the French Data Protection Act, the Client has the right to access, rectify, erase, and port their personal data, as well as the right to object to its processing for legitimate reasons. These rights can be exercised by sending a request directly to the Service Provider via email to www.collectionoui.com. In the event of a complaint, the Client may contact the CNIL (https://www.cnil.fr/fr).

Article 14 – Intellectual Property

The Seller retains ownership of all intellectual property rights to photographs, presentations, studies, drawings, models, prototypes, etc., produced (even at the request of the Customer) for the purpose of supplying the Products ordered to the Customer.

The Client therefore prohibits any reproduction or use of said photographs, presentations, studies, drawings, models and prototypes, etc., without the express, written and prior authorization of the Seller who may make it conditional upon a financial consideration.

Any reproduction, in whole or in part, of this content is strictly prohibited and may constitute an infringement of copyright.

Miscellaneous provisions

Article 15 – Unforeseen Circumstances

In the event of unforeseen changes in circumstances at the time of the conclusion of the contract, in accordance with the provisions of Article 1195 of the Civil Code, the Party which did not agree to assume a risk of excessively onerous performance may request a renegotiation of the contract from its co-contractor.

Article 16 – Force majeure

The Parties shall not be held liable if the non-performance or delay in the performance of any of their obligations, as described herein, arises from a case of force majeure, within the meaning of Article 1218 of the Civil Code.

Article 17 – Termination Procedures

It is recalled that, in accordance with legal provisions, termination of the contract by electronic means is possible when the contract was concluded electronically or, when on the day of termination the Seller offers Customers the possibility of concluding contracts electronically.

To this end, a free feature is made available to the Customer, allowing them to carry out, electronically, the notification and all the steps necessary for the termination of the contract, which the Seller must acknowledge receipt of by informing the Customer, on a durable medium and within a reasonable time, of the date on which the contract ends and the effects of the termination.

Article 18 – Applicable Law – Language

These General Terms and Conditions of Sale and the transactions arising therefrom are governed by French law.

They are written in French. In the event that they are translated into one or more languages, only the French text shall prevail in the event of a dispute.

Article 19 – Disputes

All disputes arising from purchase and sale transactions concluded under these general terms and conditions of sale, concerning their validity, interpretation, execution, termination, consequences and subsequent effects, which could not be resolved between the Seller and the Customer, shall be submitted to the competent courts under the conditions of common law.

The Client is informed that he may in any event resort to conventional mediation, in particular with the Consumer Mediation Commission (C. consom. art. L 612-1) or with existing sectoral mediation bodies, whose references are listed on the website https://www.cm2c.net/ or to any alternative dispute resolution method (conciliation, for example) in the event of a dispute.

If the dispute has to be brought before the courts, it is recalled that pursuant to Article L 141-5 of the Consumer Code: the consumer may, at his choice, in addition to one of the courts territorially competent under the Code of Civil Procedure, bring the matter before the court of the place where he resided at the time of the conclusion of the contract or of the occurrence of the harmful event.

It is also recalled that, in accordance with Article 14 of Regulation (EU) No 524/2013, the European Commission has established an Online Dispute Resolution platform, facilitating the independent out-of-court settlement of online disputes between consumers and professionals in the European Union.

Article 20 – Pre-contractual information – Customer acceptance

The Customer acknowledges having been informed by the Seller in a legible and understandable manner, by means of making available these General Terms and Conditions of Sale, prior to his immediate purchase or the placing of the order and in accordance with the provisions of Article L 221-5 of the Consumer Code:

— Regarding the essential characteristics of the Products, including specifications, illustrations, and indications of dimensions or capacity, enabling the customer to purchase the Products with full knowledge of the facts, particularly concerning their conditions of use. The Customer is required to refer to the description of each Product to understand its essential properties and characteristics; ;
